Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) govern access to and use of DentsFlow’s dental clinic management software (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms on behalf of yourself and, if applicable, the clinic or organization you represent (“Customer”).
2. Description of the Service
DentsFlow provides tools to manage patients, appointments, periodontal charts, billing, and prescriptions for dental clinics. We may add, modify, or discontinue features of the Service at our discretion, with reasonable notice for material changes affecting paid features.
3. Account Registration
You must provide accurate and complete information when creating an account and keep your credentials confidential. You are responsible for all activity that occurs under your account, and for ensuring that only authorized staff members are granted access.
4. Subscriptions, Fees & Billing
Paid plans are billed in advance on a recurring basis as described at checkout. Fees are non-refundable except where required by law or expressly stated otherwise. We may change pricing with advance notice; continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
5. Free Trials
We may offer a free trial period. At the end of the trial, continued use of the Service may require selecting a paid plan. We reserve the right to modify or withdraw free trial offers at any time.
6. Customer Data & Responsibilities
Customers remain solely responsible for the accuracy, legality, and appropriateness of any patient or clinic data (“Customer Data”) entered into the Service, and for obtaining any patient consents required under applicable law before entering their data. Customer acknowledges that, as between the parties, Customer is the data controller and DentsFlow acts as a data processor with respect to Customer Data, as further described in our Privacy Policy.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable healthcare or data protection regulations.
- Attempt to gain unauthorized access to the Service or its underlying systems.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
- Resell, sublicense, or provide the Service to third parties outside your organization without our written consent.
- Upload malicious code or interfere with the normal operation of the Service.
8. Intellectual Property
DentsFlow and its licensors retain all right, title, and interest in and to the Service, including all software, design, and branding. These Terms do not grant you any rights to our trademarks or trade names. You retain ownership of Customer Data you submit to the Service.
9. Confidentiality
Each party agrees to protect the other party’s confidential information with the same degree of care it uses for its own confidential information of similar nature, and not to disclose it to third parties except as permitted under these Terms or required by law.
10. Service Availability
We aim to keep the Service available and performant but do not guarantee uninterrupted or error-free operation. Scheduled maintenance and factors outside our reasonable control (including third-party infrastructure providers) may affect availability.
11. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, DentsFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by Customer for the Service in the twelve (12) months preceding the claim.
13. Indemnification
You agree to indemnify and hold DentsFlow harmless from any claims, damages, or expenses arising from your breach of these Terms, misuse of the Service, or violation of applicable law, including any failure to obtain required patient consents.
14. Term & Termination
These Terms remain in effect while you use the Service. Either party may terminate an account as described in the applicable order form or, absent one, with reasonable prior notice. We may suspend or terminate access immediately for breach of these Terms, non-payment, or conduct that creates legal or security risk. Upon termination, Customer may request an export of Customer Data within a reasonable period, after which it may be deleted in accordance with our data retention practices.
15. Governing Law
These Terms are governed by the laws of [Governing Jurisdiction], without regard to conflict-of-law principles, and any disputes shall be subject to the exclusive jurisdiction of the courts located there, unless applicable consumer protection law provides otherwise.
16. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by posting the updated Terms on this page with a revised “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
